This teammanages the Technology aspects of Mergers, Acquisitions, and Divestitures atPearson. Our scope includes dealpipeline management, due diligence, separation planning, financial analysis,organizational and operational impact analysis, and separation/integrationdelivery. The function of the departmentis to produce high quality M&A deliverables which help Pearson to gain a competitiveadvantage in the education marketplace.

The TechnologyM&A Team, is a small, highly skilled group within the Technology SharedServices Organization and matrixed to Corporate Finance and Strategy. We manage the technology related aspects of4b USD global M&A portfolio and a substantial pipeline. We work closely with Corporate Finance andStrategy, and across the Pearson organization, to ensure the success of ourengagements at all phases of the M&A lifecycle from Due Diligence/DealPreparation through Integration/Separation.
JobPurpose: Technology M&ASr. Analyst
Scope: Global, New York Based
●Manage matrixed resources asdirected in a complex global environment. Ensuring proper execution and governance ofall deliverables in the M&A life cycle
●Align with the Deal Team, BusinessUnits, Technology Leadership, and other stakeholders to understand andarticulate the value drivers for M&A engagements
●Perform/Lead Due Diligence andDeal Preparation activities: lead evaluation teams, identify key risks andmitigations, determine cost drivers and financial/operational impacts,aggregate findings, manage key stakeholders, and draw strategic conclusionsregarding the technology aspects of the deal
●Perform/Lead Post-Close Integration/Separationactivities: develop integration/separation strategy and budgets, manage programrelated staff and timelines, mitigate risks and resolve issues, and provideprogram and financial status, all while managing key stakeholder relationships
●Produce status reports, financialanalyses, risk assessment, due diligence reports, technology impactassessments, Organizational impact assessments, separation strategies, etc
●Work with Technology and Deal teamfinance to develop Pro Forma analyses, target technology models, and otherfinancial deliverables necessary to close the deal or execute an Integration orSeparation
●Develop executive levelpresentations to reflect financial and operational impacts of M&A
●Monitor technology and businessRoadmaps and transformation initiatives to identify and champion M&Aimpacts and risks
●Drive the embedding of propergovernance, process, and tools across the program and all relevant layers ofPearson
●Act as a subject matter expert andchampion for technology related M&A across all layers of the Pearsonorganization
●Prepare and Deliver key programcommunications and presentations to management
●Work as a trouble shooter whenneeded on any program, in any discipline.
●Work with limited supervision toshort deadlines, delegating where appropriate, but fully owning the outcome
●Capture, draft, circulate actionsand decisions agreed with management and deal leadership
●Develop and document M&Aprocesses and tools in response to changing strategic goals and Pearson’sorganizational transformation.
●Implement continuous improvementof business processes
●Travel, or relocate, as requiredand assume additional responsibilities as directed

●Legal/Contractual managementexperience preferred
●Certification in programmanagement methodologies preferred, or demonstrated skill in complex programmanagement
